Job Description

Mandate of 12 months

As a member of Legal Affairs and Secretariat and based in Montréal, the successful candidate will report to the Director, Legal Affairs, Companies and International.

He will work closely with colleagues in Legal Affairs and collaborate with other CDPQ investment teams, demonstrating rigour and professionalism while fostering collaboration and teamwork.

The incumbent will help continuously improve Legal Affair’s management of CDPQ’s subsidiaries and holding structures, many of which are incorporated abroad.

Main responsibilities

  • Contribute to the continuous improvement of the monitoring, analysis and synthesis of legal information on CDPQ’s subsidiaries and holding structures, many of which are incorporated abroad;
  • Collaborate on internal reorganization projects or transactions affecting CDPQ’s subsidiaries and holding structures;
  • Analyze or draft documents relating to the legal administration, incorporation, dissolution, modification or reorganization of CDPQ’s subsidiaries and holding structures, and provide related legal advice based on corporate law and good governance practices;
  • Draft and take part in the negotiation of contracts with suppliers and partners of CDPQ and its subsidiaries, ensuring that the contracts comply with the relevant Québec, Canadian and foreign laws, and safeguard the rights and interests of CDPQ and its subsidiaries;
  • Draft legal opinions on various legal and factual issues;
  • Interpret the Act respecting CDPQ and its regulations;
  • Coordinate, orient and supervise mandates outsourced to external lawyers both in Canada and internationally, control the legal quality of the acts, contracts and documents submitted so that they comply with relevant Québec, Canadian and international laws and safeguard the rights and interests of CDPQ and its subsidiaries;
  • Intervene preventively and implement strategies to avoid or reduce the risk of potential litigation or the liability of CDPQ and its subsidiaries;
  • Monitor developments in corporate law and best practices in corporate governance and collaborate on updating and maintaining documentation on new laws and regulations.

Requirements

  • Bachelor’s degree in law and professional training with the Barreau du Québec;
  • Member of the Barreau du Québec;
  • Membership in the bar of another jurisdiction is an asset;
  • Five years of relevant experience;
  • Experience in corporate law, governance, commercial law, securities law or taxation;
  • An equivalent combination of education and experience will be considered;
  • Excellent knowledge of French and English (spoken and written);
  • Knowledge of Spanish, Portuguese or Mandarin is an asset;
  • Good understanding of well-known desktop applications, including PowerPoint and Excel;
  • Availability for travel outside the country is an asset.
